Terms of Sale

Interim commercial terms for educational resources, licences and related services offered by NT Education Solutions.

Website prices, product listings and marketplace buttons do not currently complete a sale. Availability, final price, licence scope, payment, delivery and applicable legal terms must be confirmed in writing before a binding transaction is completed.

1. Purpose of these terms

These interim Terms of Sale explain the current commercial position of NT Education Solutions and the general conditions that may apply when educational resources, licences or related services are supplied.

Automated online purchasing, checkout, payment processing and instant digital delivery are not currently enabled on this website.

A binding transaction will arise only when the product, service, price, licence scope, delivery arrangements and applicable terms have been confirmed and accepted in writing.

2. Current website status

The NT Education Solutions website currently provides information about educational services, resources, packages and planned marketplace products.

Buttons such as Buy Now, Register Interest, Request Information or Contact Us currently lead to an enquiry process and do not by themselves complete a purchase.

Submitting an enquiry does not create an obligation for the visitor to purchase or for NT Education Solutions to supply a product or service.

3. Products and services

NT Education Solutions may offer curriculum resources, professional-development materials, assessment tools, templates, educational toolkits, school-improvement resources, consultancy services and bespoke educational materials.

The essential characteristics, contents, format, intended users, licence scope and delivery method of a product or service will be described in the relevant product page, proposal, quotation or written confirmation.

Images, previews and sample materials are illustrative and may not show every component included in the final product.

4. Availability

Some resources displayed on the website are available as free samples, while others are planned, in development, available by enquiry or marked as coming soon.

Displaying a resource, service or price on the website does not guarantee immediate availability.

NT Education Solutions may revise, postpone, replace or withdraw a planned resource before a binding order has been accepted.

5. Enquiries and quotations

Visitors may contact NT Education Solutions to request information, register interest, discuss a licence or request a quotation.

Where appropriate, NT Education Solutions will provide written information identifying the product or service, price, licence type, delivery arrangements, payment conditions and any applicable limitations.

A quotation or proposal may remain valid only for the period stated in that document.

6. Order acceptance

An order is not accepted merely because a visitor submits a website form or requests information.

A transaction is accepted only when NT Education Solutions confirms acceptance in writing or both parties approve an applicable proposal, quotation, invoice, order confirmation or agreement.

NT Education Solutions may decline an enquiry or proposed order where the requested resource is unavailable, the requested licence cannot be granted, information is incomplete or the intended use is incompatible with the applicable licence.

7. Prices

Prices displayed on the website are indicative unless expressly confirmed as final in writing.

The final price, applicable currency, taxes, licence scope, delivery charges and any authorised expenses will be confirmed before a binding transaction is completed.

A displayed price may apply only to a specified licence type, user group, school, organisation or delivery format.

Prices may be revised before an order is accepted.

8. Taxes and invoicing

The applicable tax treatment, including VAT where relevant, will depend on the legal status of the seller, the customer, the product or service, and the countries involved.

Any applicable tax and invoicing information will be confirmed in the quotation, invoice or order documentation.

The website must not be treated as confirmation that a displayed price includes or excludes a particular tax unless that position is stated clearly in the relevant written offer.

9. Payment

Online card payment and automated checkout are not currently enabled.

Where a transaction is agreed, the accepted payment method, payment deadline, invoice details and any staged-payment arrangement will be confirmed in writing.

NT Education Solutions may require full or partial payment before a resource, licence, service or project stage is delivered.

No payment credentials should be submitted through the general contact form.

10. Delivery of digital resources

Where a digital resource is supplied, the delivery method may include email, a secure download link, a restricted shared folder or another agreed digital-delivery method.

The delivery time will be confirmed before the transaction is accepted.

The customer is responsible for providing a correct email address and maintaining suitable software, internet access and device security to receive and use the resource.

Access links, protected files and licensed resources must not be shared outside the authorised licence scope.

11. Resource licences

Educational resources are licensed rather than sold outright unless a separate written agreement expressly states otherwise.

The applicable licence may be for an individual educator, department, whole school, organisation, multi-site provider or bespoke client.

The customer must use the resource only within the scope of the licence confirmed for that transaction.

12. Consultancy and bespoke services

Consultancy, training, curriculum-development and bespoke-resource projects will normally be governed by a proposal, quotation, statement of work or service agreement.

The applicable document will define the project scope, deliverables, timetable, fees, client responsibilities, intellectual-property arrangements and cancellation conditions.

Where consultancy terms conflict with these general Terms of Sale, the accepted project-specific agreement will take priority for that engagement.

13. Changes requested by the customer

Requests to change an agreed resource, licence, project scope, delivery format or timetable may require a revised quotation, additional payment or a new delivery date.

No significant additional work will be undertaken without appropriate confirmation.

14. Consumer withdrawal rights

Where applicable law provides a consumer with a right to withdraw from a distance contract, the customer will be given the required information before the transaction is completed.

The applicable withdrawal period, procedure, model withdrawal form and any lawful exceptions will be included in the final consumer-facing sales process before online purchasing is enabled.

Digital-content and service transactions may be subject to specific rules where performance or access begins before the normal withdrawal period has expired.

These interim website terms do not remove any mandatory consumer right.

15. Cancellations before delivery

Before a binding order is accepted, either party may decide not to proceed.

After acceptance, cancellation conditions will depend on the product or service and will be stated in the relevant written confirmation, proposal or agreement.

For bespoke work or consultancy services, fees may remain payable for work already completed and for authorised non-recoverable costs.

16. Refunds

Because automated online sales are not currently enabled, no standard online-refund process is currently operating.

Any refund or cancellation entitlement for an enquiry-based transaction will be determined by the applicable written terms and mandatory law.

Final digital-product refund rules will be published before instant digital purchasing is introduced.

17. Faults and delivery problems

Customers should report a missing, inaccessible, corrupted or materially incomplete digital file promptly and provide sufficient information for the issue to be investigated.

Where appropriate, NT Education Solutions may provide a replacement file, corrected access link or other reasonable remedy.

A customer must not treat a failure caused solely by an incorrect email address, unsupported device, blocked organisation network or unauthorised sharing as a defect in the resource itself.

18. Customer responsibilities

The customer must provide accurate contact, billing, organisation and licence information.

The customer must ensure that the selected resource or service is suitable for its intended educational context before implementation.

Schools and organisations remain responsible for curriculum decisions, safeguarding, accessibility, regulatory compliance, data protection and professional review of materials before use.

19. Intellectual property

Unless a separate written agreement states otherwise, NT Education Solutions retains ownership of its resources, templates, methodologies, graphics, written content and educational designs.

Payment for a resource grants only the usage rights described in the applicable licence.

Resources must not be resold, publicly uploaded, redistributed, sublicensed or used to create a competing commercial product without written permission.

20. Artificial intelligence use

Customers must not upload substantial parts of NTES resources to public artificial-intelligence systems for model training, commercial dataset creation, mass reproduction or development of a competing product.

Any permitted internal AI-assisted adaptation remains subject to the applicable Resource Licence, organisational policies, intellectual-property obligations and data-protection safeguards.

21. Professional and educational use

NTES resources and services support professional educational practice but do not replace the judgement of teachers, leaders, safeguarding personnel, regulators, legal advisers or other qualified professionals.

No specific inspection outcome, accreditation result, student result, financial benefit or organisational performance result is guaranteed.

22. Complaints

A customer should contact NT Education Solutions promptly if they believe a product, service, invoice, licence or delivery arrangement does not match what was agreed.

The customer should provide the relevant correspondence, quotation, invoice or order information so that the concern can be reviewed.

NT Education Solutions will seek to address legitimate concerns reasonably and in accordance with the applicable agreement and law.

23. Consumer mediation

Where consumer-mediation obligations apply, the identity and contact details of the competent consumer mediator must be provided before consumer sales are activated.

The customer will normally need to make a written complaint directly to the professional before referring an unresolved consumer dispute to the relevant mediator.

The mediator details will be inserted after the final legal operator, jurisdiction and approved mediation arrangement have been confirmed.

24. Liability

Any liability limits or exclusions applicable to a particular transaction should be stated in the relevant written agreement and must comply with applicable law.

Nothing in these terms excludes or limits liability where exclusion or limitation would be unlawful.

25. Events outside reasonable control

Neither party will be responsible for delay caused by events outside its reasonable control, provided the affected party communicates the issue and takes reasonable steps to limit its impact.

Where such an event materially affects delivery, the parties may agree a revised timetable or another appropriate solution.

26. Governing law and jurisdiction

The applicable governing law, jurisdiction and dispute-resolution arrangements will be stated in the final commercial terms, accepted quotation or relevant agreement.

This section remains interim because the final NT Education Solutions legal structure and commercial jurisdiction have not yet been confirmed.

Mandatory consumer protections applicable in the customer’s country may continue to apply where the law requires them.

27. Changes to these terms

These interim Terms of Sale may be updated when online checkout, payment processing, customer accounts, automated digital delivery or new commercial services are introduced.

The version supplied or referenced when a transaction is accepted will normally govern that transaction unless the parties agree otherwise in writing.
