Consultancy Terms

General conditions for educational consultancy, professional development, curriculum development and school-transformation engagements.

Important contractual notice

These general website terms provide an overview only. Every paid engagement should be supported by an accepted proposal or signed agreement defining the exact scope, fees, timetable, deliverables and applicable legal terms.

1. Purpose of these terms

These consultancy terms explain the general conditions under which NT Education Solutions may provide educational consultancy, professional development, curriculum development, school-improvement and technology-related services.

Every engagement will also be governed by a written proposal, quotation, statement of work or service agreement. If that document contains terms that differ from this page, the signed engagement document will take priority.

2. Consultancy services

Services may include school reviews, strategic planning, curriculum development, responsible AI guidance, professional learning, quality assurance, digital transformation, STEAM development, resource creation and implementation support.

The exact scope, objectives, deliverables, delivery format, timetable and intended outcomes will be agreed with the client before work begins.

3. Proposals and engagement confirmation

Website descriptions, package durations and indicative information do not constitute a binding offer. A consultancy engagement is confirmed only when the parties accept a written proposal, quotation or agreement.

The proposal may specify assumptions, exclusions, milestones, client responsibilities, fees, taxes, expenses and payment dates.

4. Client responsibilities

The client must provide accurate information, suitable access to relevant staff and documents, timely decisions and any permissions required for the agreed work.

The client remains responsible for its leadership decisions, regulatory compliance, safeguarding arrangements, employment responsibilities and implementation of recommendations.

Delays in providing information, access or approvals may affect the agreed timetable and delivery dates.

5. Fees, taxes and expenses

Consultancy fees will be stated in the applicable proposal or quotation. Unless expressly stated otherwise, additional travel, accommodation, venue, translation, specialist software or third-party expenses require prior agreement.

Invoices, payment stages, applicable taxes and payment deadlines will be specified in the relevant engagement documentation.

Where work is commissioned in stages, NT Education Solutions may require payment before the next stage begins.

6. Timetables and delivery

Delivery dates are planned in good faith using the information available when the engagement is agreed.

A timetable may be adjusted where the client changes the scope, delays access or approvals, or where circumstances outside the reasonable control of either party affect delivery.

Any material timetable change will be discussed with the client as soon as reasonably possible.

7. Changes to scope

Requests that fall outside the agreed scope may require a revised quotation, additional fees or an updated delivery timetable.

No significant additional work will be undertaken without the client’s approval.

8. Educational and regulatory context

NT Education Solutions provides independent educational advice and resources. It does not act as a regulator, accreditation authority, inspection body or legal adviser.

Recommendations may be informed by published educational frameworks and recognised quality principles, but clients must verify the current requirements of their relevant regulator, awarding body or jurisdiction.

No particular inspection result, accreditation decision, student outcome or organisational performance result can be guaranteed.

9. Intellectual property

Pre-existing methodologies, templates, frameworks, designs, training materials and resources belonging to NT Education Solutions remain its intellectual property unless a written agreement states otherwise.

The client receives only the usage rights expressly granted in the proposal, agreement or applicable resource licence.

The client must not resell, publish, distribute, sublicense or commercially exploit NT Education Solutions materials without written permission.

Ownership and permitted use of bespoke deliverables will be specified in the relevant engagement documentation.

10. Confidentiality

Each party should protect confidential information received during the engagement and use it only for the agreed work.

Confidentiality does not apply to information that is already lawfully public, independently developed, received lawfully from another source or required to be disclosed by law.

Any use of a client’s name, logo, testimonial or case study requires prior permission.

11. Data protection and information security

The parties must avoid sharing unnecessary personal data. Where personal data is required, the purpose, access arrangements, retention expectations and security responsibilities should be agreed before transfer.

Clients must not provide identifiable student, safeguarding, health or special-category information unless this is necessary, lawful and supported by appropriate safeguards.

Additional data-processing terms may be required where NT Education Solutions processes personal data on behalf of a client.

12. Safeguarding

The client retains responsibility for safeguarding, supervision, site access and local child-protection procedures during school-based activities.

Any direct interaction with children or young people must be separately agreed and conducted under the client’s safeguarding requirements and applicable law.

13. Consultants and specialist contributors

NT Education Solutions may use appropriately experienced consultants or specialist contributors where this supports the agreed engagement.

NT Education Solutions remains responsible for coordinating its contracted deliverables. Any material subcontracting or access to confidential client information will be managed under appropriate obligations.

14. Cancellation and rescheduling

Cancellation, postponement and rescheduling conditions will normally be stated in the accepted proposal or agreement.

Where no specific conditions have been agreed, the parties will seek a reasonable solution that takes account of completed work, committed costs and the notice provided.

Fees for completed work and non-recoverable authorised expenses may remain payable.

15. Professional responsibility

Services will be delivered with reasonable professional care and skill based on the agreed scope and the information supplied by the client.

The client is responsible for evaluating recommendations in its own educational, legal, financial, safeguarding and regulatory context before implementation.

16. Liability

Any liability arrangements, exclusions or financial limits applicable to a consultancy engagement should be stated in the signed proposal or service agreement and must comply with applicable law.

Nothing in these terms excludes or restricts liability where doing so would be unlawful.

17. Events outside reasonable control

Neither party will be responsible for delay caused by events outside its reasonable control, provided that the affected party communicates the issue and takes reasonable steps to reduce its impact.

18. Ending an engagement

Either party may end an engagement in accordance with the termination provisions contained in the applicable proposal or agreement.

On termination, the client must pay for properly completed work and agreed non-recoverable costs incurred up to the effective termination date.

Confidentiality, intellectual-property, payment and data-protection obligations that are intended to continue will survive termination.

19. Complaints and concerns

A client should raise any concern promptly so that it can be reviewed and, where appropriate, corrected.

20. Governing terms

The applicable governing law, jurisdiction and dispute-resolution arrangements will be identified in the signed proposal or consultancy agreement.

These website terms should not replace jurisdiction-specific contractual documentation where a project requires it.

21. Changes to these terms

These general terms may be updated as NT Education Solutions develops its services or responds to legal and operational requirements.

The version applicable to an engagement will normally be the version referenced in the accepted proposal or agreement.
