Resource Licence

1. Purpose of this licence

This licence governs the use of curriculum materials, professional-development resources, templates, toolkits, presentations, assessment materials, lesson resources, project materials, guidance documents and other educational content supplied by NT Education Solutions.

Access to a resource does not transfer ownership of the underlying intellectual property. The user receives permission to use the resource only within the scope of the licence confirmed for that resource.

3. Permitted educational use

Subject to the confirmed licence type, authorised users may:

• use the resource for lesson planning, classroom teaching, assessment and professional development;
• print or reproduce reasonable copies for authorised staff or enrolled learners;
• display the resource during lessons, workshops or internal staff training;
• upload the resource to a secure, access-controlled learning platform used only by authorised staff and learners;
• make reasonable adaptations to suit the curriculum, age group, school context or learner needs;
• add the school or organisation name to internal working copies, provided NTES ownership is not misrepresented or removed.

4. Internal sharing

Resources may be shared only with people covered by the confirmed licence.

An individual educator licence does not permit sharing with other teachers, departments, schools or external organisations. A wider licence must be obtained where multiple staff members or locations require access.

Staff members who leave the licensed organisation must not retain or continue using copies unless they have obtained a separate licence.

5. Secure learning platforms

Licensed resources may be uploaded to a secure learning management system, virtual learning environment, school intranet or restricted shared drive only when access is limited to authorised staff and enrolled learners covered by the licence.

Resources must not be uploaded to publicly accessible websites, open repositories, public cloud folders, social-media groups or platforms where unauthorised people can download or copy them.

6. Adaptation and editable files

Where an editable version is supplied, authorised users may adapt the resource for internal educational use.

Adaptation does not transfer ownership. Modified versions remain subject to the original licence and must not be sold, published, redistributed or presented as an independently created commercial product.

NTES branding, copyright notices, attribution statements or licence information must not be deliberately removed where they form part of the supplied resource.

7. Prohibited use

Unless NT Education Solutions gives prior written permission, users must not:

• sell, sublicense or commercially redistribute a resource;
• give the resource to another school, organisation, consultant or training provider;
• upload the resource to a public website, repository, marketplace or file-sharing service;
• publish substantial parts of the resource in a book, course, website, application or commercial training programme;
• remove ownership notices and present the resource as another person's original work;
• use the resource to create a competing product for sale or licensing;
• share login details, download links or protected files with unauthorised users;
• use the resource in a way that is unlawful, misleading, discriminatory or harmful.

8. Artificial intelligence and automated extraction

NTES resources must not be uploaded to public artificial intelligence systems for the purpose of training a model, creating a commercial dataset, reproducing substantial parts of the resource or generating a competing product.

Limited use of an organisation-approved AI system to support internal adaptation may be permitted only where the organisation has appropriate data-protection, confidentiality and intellectual-property safeguards and the resulting content remains within the authorised licence scope.

Users remain responsible for reviewing the accuracy, suitability, safety and originality of any AI-assisted adaptation.

9. Ownership and attribution

Unless a separate written agreement states otherwise, NT Education Solutions retains ownership of the supplied resources, including their structure, written content, templates, graphics, assessment materials and original educational design.

Third-party material included within a resource remains subject to the rights and conditions applicable to that material.

10. Learner work

Learners may use licensed resources to complete educational tasks and create their own original work.

The licence does not transfer ownership of learner-created work to NT Education Solutions.

Schools remain responsible for obtaining any permissions required before publishing learner names, images, recordings or work publicly.

11. Professional judgement

NTES resources are designed to support educational planning and professional practice. They do not replace the professional judgement of teachers, school leaders, safeguarding personnel, legal advisers or other qualified specialists.

The licensed school or organisation remains responsible for reviewing each resource and ensuring that its use is appropriate for the relevant learners, curriculum, jurisdiction and institutional policies.

12. Resource updates

A licence applies to the version of the resource supplied. Unless expressly included in writing, it does not guarantee access to future editions, revisions, additional modules or replacement products.

NT Education Solutions may correct, improve or withdraw a resource where necessary.

13. Licence misuse

NT Education Solutions may suspend or terminate permission to use a resource where there is evidence of unauthorised sharing, redistribution, resale, public uploading, intellectual-property misuse or another material breach of the licence.

Following termination, unauthorised copies must be removed from devices, shared drives, learning platforms and repositories. Copies that must be retained solely because of a legal or institutional record-keeping requirement must not be used for any other purpose.

14. Fees, delivery and refunds

Automated online sales and digital delivery are not currently enabled. Any fee, delivery method, licence scope, payment arrangement or cancellation condition must be confirmed in writing before a resource is supplied.

Commercial terms for future online purchases will be set out in the applicable Terms of Sale before those facilities are activated.

15. Bespoke resources

Resources created specifically for a client may be subject to a separate proposal, statement of work or licence agreement. Where a separate written agreement conflicts with this page, the separately agreed written terms will apply to that project.

16. Changes to this licence

This interim Resource Licence may be updated when NTES introduces online sales, new licence categories, account-based access or additional delivery technologies.

The licence supplied or confirmed at the time a resource is provided will govern that particular transaction unless a later written agreement is accepted by both parties.

Contact NT Education Solutions before sharing a resource beyond its confirmed licence, using it across multiple schools, incorporating it into a commercial programme or requesting a bespoke licence.
